Formation of Business Entities – We assist in the formation, updates and reorganization of corporations, limited liability companies, and partnerships. We review joint venture, buy-sell, start-up transactions, and development agreements. We assist in dissolutions and restructuring of entities.
Advising Businesses – We provide a broad spectrum of services to small and mid-sized businesses in a competitive local economy. Our extensive trial experience permits us to review contracts, purchase agreements, and business ventures with an eye toward avoiding future litigation. We also work closely with our clients to ensure that they maintain the necessary formalities and comply with current rules affecting corporations and limited liability companies. We prepare, review and revise commercial leases, option agreements and purchase agreements. We work with our clients and their accountants in business transitions.
Advising Medical and Dental Professionals – We assist medical and dental professionals in the many legal issues that arise in their practices, including the transition of a professional practice. Such representation includes counsel regarding practice purchase agreements, corporate and partnership formation/dissolution, real estate acquisition and sale, leases, associate and employee agreements, space sharing agreements and accountants to address parties' concerns and complete the desired transaction., and all other related matters. Real Estate Transactions – Drawing on our extensive knowledge and experience in real estate law, we provide transactional services to our real estate clients. We advise clients in real estate acquisition and sale, land use planning and development, construction contracts, commercial and retail leasing, and home owner association matters. We prepare management agreements for real property assets, and joint venture agreements for real estate developers. We also assist our clients in work-outs and settlements that combine buy-outs, real estate transactions, commercial leases, and loan documentation.
Advising Real Estate Professionals, General Contractors and Developers – Over the years, we have learned the importance of working with our clients to prevent disputes and litigation, or at least resolve such disputes at the earliest stage possible. We form new entities, such as limited liability companies and corporations, and help our clients update their documentation for existing entities so that they comply with current rules and regulations. We review and revise standard contracts for services taking into account how the business actually operates and how best to document that relationship with customers and clients. We advise as the first sign of a dispute emerges in an effort to avoid litigation and preserve the customer/client relationship. If those efforts fail, we work with our clients to carefully document the problem in preparation for mediation, arbitration or litigation.
